Welcome to Deployi! By using or accessing our website and services (collectively, the “Services”), or by creating an account, you agree to these Terms & Conditions (“Terms”). If you do not agree, please do not use our Services.

1. Acceptance of Terms

• By registering, subscribing, or otherwise using Deployi, you acknowledge that you have read, understood, and accepted these Terms and our Privacy Policy.
• These Terms form a legally binding agreement between you (“you,” “User,” or “Client”) and Deployi (“we,” “us,” “our”).
• We may modify these Terms from time to time. Updated versions will be posted, and the “Last Updated” date will be revised. Your continued use of the Services after changes constitutes acceptance of the new Terms.

2. Eligibility & Account Registration

• You must be at least 13 years old (or the legal age in your jurisdiction) to use Deployi. By registering, you represent and warrant that you meet this age requirement.
• To open an account, you must provide accurate, current, and complete information. You agree to keep your account information up to date.
• You are responsible for maintaining the confidentiality of your login credentials and for all activities conducted under your account. You agree to notify us immediately of any unauthorized use or breach of security.
• We reserve the right to refuse or terminate access, and to suspend or delete accounts, at our sole discretion, for any reason (e.g., violation of these Terms, abuse, or fraudulent behavior).

3. Services and Access

• We do not guarantee that access to the Services will be uninterrupted, timely, secure, or error‑free.

4. Payments & Refunds

• By subscribing or paying for any services, you agree to pay all fees and charges as per the pricing and billing terms we display at the time of purchase.
• You authorize us (or our payment processors) to charge your chosen payment method for these amounts.
• In the event of failed payments, we may suspend or terminate your access until the balance is paid.
• Refunds, if permitted, are governed by our Refund Policy. (See the separately posted Refund Policy.)
• All charges are non‑refundable unless expressly stated otherwise.

5. User Conduct & Prohibited Uses

You agree not to use Deployi for any illegal or unauthorized purpose. You further agree not to:

• Violate any applicable law, regulation, or third‑party rights
• Interfere with or disrupt the integrity or performance of the Services
• Use automated procedures (bots, scrapers, etc.) to collect data from the Services
• Reverse engineer, decompile, or disassemble any software component of the Services
• Impersonate others or misrepresent your affiliation
• Upload, post, transmit, or link to content that is unlawful, harmful, defamatory, obscene, or infringing on intellectual property rights
• Attempt to gain unauthorized access to other users’ accounts or systems
• Use the Services to distribute spam or unsolicited messages

We reserve the right to investigate and take legal action against anyone who, in our sole discretion, violates this section.

6. User‑Generated Content, Feedback & Rights

• If you submit content (e.g. feedback, reviews, upload files, test data) through the Services (“User Content”), you grant Deployi a worldwide, non‑exclusive, royalty-free, sublicensable, transferable license to use, reproduce, modify, adapt, publish, translate, distribute, and otherwise exploit your User Content for the purpose of providing, improving, and promoting the Services.
• You represent and warrant that you own or control all rights to your User Content and that its submission does not violate any law or the rights of any third party.
• We may refuse, remove, or disable access to any User Content at our discretion, including that which violates these Terms.

7. Intellectual Property

• All content, features, software, and other materials provided as part of Deployi (the “Platform”) are owned by Deployi or its licensors and are protected by copyright, trademark, and other intellectual property laws.
• You are granted a limited, non‑exclusive, non-transferable license to use the Platform solely for your personal or business use in accordance with these Terms.
• You may not copy, distribute, modify, create derivations, publicly display, or otherwise exploit Deployi’s intellectual property beyond what is permitted under this license.

8. Disclaimers & Limitation of Liability

• To the fullest extent permitted by law, the Services (and all content therein) are provided “as is” and “as available”, with no warranties of any kind—express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, or uninterrupted access.
• Deployi does not guarantee the accuracy, completeness, or usefulness of any content or results obtained from the Services.
• In no event shall Deployi, its officers, directors, employees, agents or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages (including loss of profits, data, reputation, or business) arising out of or in connection with your use of, or inability to use, the Services—even if advised of the possibility of such damages.
• Our total liability to you arising out of or relating to these Terms or the Services shall not exceed the amount you have paid to us in the preceding 12 months (if any).

9. Indemnification

You agree to indemnify, defend, and hold harmless Deployi and its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from or related to:

• Your use of or conduct on the Services
• Your User Content
• Your violation of any provision of these Terms
• Your violation of any applicable laws or third‑party rights

10. Termination

• You may terminate your account at any time by contacting us or via your account settings (if available).
• Deployi may suspend or terminate your access (or accounts) immediately, without liability, if you breach these Terms or for any other reason at our discretion.
• Upon termination, all rights and licenses granted to you under these Terms will immediately cease.
• Provisions that by their nature should survive termination (e.g. sections on Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, etc.) will continue to apply.

11. Governing Law & Dispute Resolution

• These Terms shall be governed by and construed in accordance with the laws of [Your Country / State] (you should specify your jurisdiction).
• Any disputes arising out of or relating to these Terms or the Services will be subject to the exclusive jurisdiction of the courts of [Your Jurisdiction], unless otherwise required by applicable law.

13. Miscellaneous

• Entire Agreement: These Terms, along with the Privacy Policy, Refund Policy, and any other policies we post, constitute the entire agreement between you and Deployi regarding the Services.
• No Waiver: Our failure to enforce any right under these Terms is not a waiver of that right.
• Severability: If any provision of these Terms is found to be unenforceable or invalid, the remainder will remain in effect.
• Assignment: You may not assign or transfer your rights or obligations under these Terms without our prior written consent. Deployi may assign or transfer these Terms in connection with a merger, acquisition, or sale of assets.
